1、个人账户
基于个人信息注册获取的账户,个人账户分为认证和非认证两种,个人认证账户将享有更多的权限和服务。个人账户可以在中国大买手平台进行项目发布、需求发布以及项目查询、申请NDA等相关操作,但所发布的项目和需求是以个人名义发布,没有认证机构给予项目或需求背书,项目或需求所获得的平台评级会有影响。因此,为更好的开展线上业务,建议个人账户用户转为机构账户用户。

2、机构账户
基于用户所属机构信息注册获取的账户,机构账户分为认证和非认证两类,认证机构账户将享有更多的企业级服务。其中对于机构账户,如果该账户还未注册认领,则可以是用户自己认领该账户;如该账户已被注册认领,用户可以自己申请加入。获取机构账户的用户,所发布的项目和需求可以得到更佳的推荐,同时机构负责人还可以通过机构账户所提供的团队管理功能更好服务于所属机构在平台上的所有业务。


1. How to protect the confidentiality of the users' identities?
We apply a rule of "real-name registration and login in incognito mode" when it comes to user administration. Each user has to fill in true information in order to set up a user account. While there are stringent processes of registration and verification in place to ensure the authenticity of each user and the seriousness of their information, login in incognito mode is also encouraged to protect the privacy of the users and the security of their identities. As agreed in the registration agreement signed between ChinaMerger.com and the user, aside from the information disclosure necessary for matching, i.e. user account names (non-real-name), the number of views for businesses and requests (related to a certain industry and location), as well as the number of listed businesses and requests, we promise not to disclose other user identity and activity information to any third party in any form without the user's permission.

2. How to protect the confidentiality of business/request?
We uphold a principle of "in-depth collection of information with various levels of disclosure" in terms of administration of business/request data. Targeting the prevailing irregularity of business summary available in the market, we've established a professional and complete format of business summary which is developed in UGC model. It offers a fast and convenient way to operate as most of the actions can be done by ticking the boxes. However, it is up to the users' discretion as to what extent the information should be disclosed, i.e. disclosing the information at three different levels, which can protect the confidentiality of the business to the greatest extent.

3. What are individual users? What are organizational users?
a. An individual user refers to a user registering on and using the site as an individual;

b. An organizational user refers to a user registering on and using the site as an organization; unlike an individual user, an organizational user can have several linked accounts through which different users in the same organization can log in (according to different membership dues paid).

4. How to add a V to my account? Why to add a V?
After registration, the users can click "Identity Verification" in the User Center on the left of the page to verify their identities and add a V to their accounts. Our staff will review the relevant documentation or certificates submitted by the users according to the tips within 48 hours after submission. We will light up the "V" sign for users who have had their identity verified.

Alternatively, users can also verify their identities by providing us with appropriate documentation from Dun & Bradstreet, a third party authentication body.

5. What are the differences between the services provided to free users and paid users?
As a professional M&A matching website, we will take the number of users into consideration while attaching importance to the quality of users. Therefore, a fundamental principle "Register before browsing, verify to publish and pay to contact" is followed.

You can access our website after taking some simple steps to register when you arrive at our page, view some general information using some basic functions. After complete your personal information, you can also list a business for sale or a buying request, which are all free.However, the content published is visible to other users only after being verified by us. Information published by users with V added is usually verified in a timely manner.

Two different fee policies are applied to individual and organizational users. Both types of users can pay by year. Organizational users can pay for more than one account, the number of which is related to different discount rates.

6. My business listing is displayed as "Pending" after submission. When can it pass the verification and be listed?
We cautiously verify all businesses submitted by users. Businesses that fail to meet the site rules will not be displayed. At any stage, the seller shall take full responsibility for the authenticity of the information therein. Verification usually takes 48 hours, and approved businesses will be automatically displayed as "Active". Users will receive a notice from us via email or our message function if their submitted businesses failed to be verified. Such businesses will be published only after the users have modified the information according to the requirements.

7. To what extent will the paid users view the summary?
After being upgraded to paid users, the users can view:

a. View and download relevant documents submitted by the seller in the "Document Center" after signing the Non-Disclosure Agreement (if required by the seller). The paid users can also view the deal preferences and the need information of professional consultants of the seller.

b. Contact information of the buyers and sellers while being able to use the website message function to further communicate on-line.

c. Background information of buyers/sellers.

8. What are the differences between "registered users" and "contact" on ChinaMerger.com?
In order to ensure the security of the user information to the greatest extent and prevent excessive interruption, users can assign a specific contact to each business/request. The differences between registered user and contact are as follow:

Registered users: the holder of accounts on ChinaMerger.com as the actual operator and responsible party. They have authorities to list a business/request on behalf of themselves or others. The users are not necessarily the actual buyers/sellers. They may as well be the intermediary or the agent.

Contact: the liaison person of a specific business/request. They could be the actual sellers/buyers, or the agents.

Paid users may find a contact designated by the seller together with their contact information on the page of the "Business Transaction Summary" and contact such person, or use the message function to contact the publisher of the business; The paid sellers may communicate with the specific contact on the buyers' side through the contact information provided on the page of request details by the buyers, or contact the publisher on the buyers' side using the message function.

A direct means of communication is also available between paid users and paid buyers when they use the message function on the page of Member's Profile of the other party. (Coming soon)

Seller's concerns:

1. How will the information of the sellers' businesses be disclosed? To whom is such information visible?
The sellers' business information is disclosed at three levels:

a. Basic information is disclosed to all buyers. The "Search Businesses for sale" tool allows the Buyer to browse the list of search results, which displays basic business information (such as industry, location, asset category, asking price range and business highlights, etc.), which are disclosed to all buyers.

b. Blind Teaser information, can be disclosed to all buyers or only to the approved buyers. The Blind Teaser includes the information of the seller, detailed business information and financial data on business, etc., which the Seller can choose to disclose only to authorized buyers.

c. Only paid users authorized by the Seller can view more detailed information on a business listed for sale. As for information in the "Data Room", the Seller has the option to require buyers to sign the "Non-disclosure Agreement" to view the documents in the "Data Room", including information memorandum and other confidential documents. If the sellers decide that it is not necessary to sign the Non-disclosure Agreement, they have the option not to sign such an agreement. In this case, the buyers will be able to view the documents submitted to the Document Center without having to sign a Non-disclosure Agreement with the sellers.

2. How can the Seller find the Buyer more efficiently?
a. the Seller can provide more detailed business information to enable the system make more accurate buyer matching.

b. the Seller can use the "Search Buyers" function provided by the site to search potential buyers of each business offered for sale, or can use the "Industry and Location Classification" to search for buyers more accurately.

c. Registered paid sellers can communicate with the buyers using the message function on the page of member profile or contact the specific contact person for the detailed request disclosed by the buyers.

3. Do you provide off-line services (e.g. searching Chinese buyers who match seller's customized requirements)?
Firstly, we will use our on-line system to match the seller with buyers interested in the target industry and location;

Buyers' concerns:

1. Is the Buyer request information and individual/institutional information visible to all Sellers?
Free users can search and view detailed information of buyers’ requests while registered paid users can contact the specific contact person on the side of the buyers.

2. How can the Buyer find a business and seller more efficiently?
a. The Buyer can use the "Search Business for Sale" function in Buyer Tools to search industries and locations of interest.

b. The Buyer can also list their requests and allow the system to find businesses that best match their requirements.

c. Buyers can communicate with the sellers by using the message function on the page of Member's Profile.

3. Do you provide off-line advisory services?
Morning Whistle plans to establish a ranking system for related service providers based on the industry, location and scale of the businesses. The system will provide users with features to make on-line inquiry and choose service providers.

If appointed by the buyer, Morning Whistle will recommend reliable service providers (such as investment banks, law firms and legal service providers) to provide users with one-stop cross-border M&A services.
